I have emails re PopularLink issuing 5 shares of stock and getting stock certificates. I have the stock certificate numbers they assigned me via email, but no certificates were ever mailed to me. They were giving away free stock for referring friends to them, which I did. I have four emails regarding this. They do not answer any emails. Do I have any sort of claim or suit against them? I too have stock numbers for 5 stocks I was given by the company. I printed out the reservation number page from this. The date on the print-out is 6/29/01. I never received any further notice and would like to know if this is legit.

I received the following response to a question I asked. The response is dated 10/19/04:

"At this time, the company will not be able to go public. With the downward trend in the market over the past couple of years, it has made the IPO not possible for us. We do apologize for this inconvenience as it was the intention of the company to go public. You may still hold on to the reservation numbers given in the past as they are still kept in our system for reference. Should a possibility open up for us to go public, you will be notified accordingly. Thank you."

As it appears that the "www.popularlink.com" site is no longer functional (I get a "403 Forbidden" now), I'm going to guess that the company folded in the last couple of years.

It appears we've all been scammed and have lost on this one. Like the rest of you, I too have shares and did not ever receive the certificates. I still have my reservation numbers but at this point I guess its not much good.

Might as well add me to the list. I'd forgotten all about this "offering" until I came across the e-mail with my stock numbers on it when I was getting ready to move. I should have taken the $25 cash bonus instead, but then would I have received that? Luckily I expect to have the same e-mail address, so that when the stocks begin to soar :} they'll know how to contact me. Too bad the person who referred me isn't around anymore so I could thank him (?).

I was issued 5 share numbers as well. I contacted popularlink a long time ago as in a couple of years ago and got the same message as another person who commented here. They basically told me to hold on to the numbers just in case things turned around which of course never happend. Oh well. I didn't have to buy anything so I am not really complaining but if there is some kind of a lawsuit I would like to know.

It sounds like a plausible Internet-age moneymaking scheme: a Web startup giving away free stock as a promotional scheme. The user has nothing to lose, and -- who knows? -- the company could end up being the next Amazon.com.

There's just one problem: the free-stock offer is illegal.

The Securities and Exchange Commission has recently begun issuing warnings about the innocuous-sounding free-stock deals, which are promoted by e-mails sent from one friend to another.

"A company called Tradehall (very similar to eBay, whose stock has skyrocketed) is giving away free stock as a promotional stunt. (The stock is not yet public.)" read one such e-mail. "They are trying to generate interest in their startup." The message then gives instructions on how to sign up for shares of stock.

Tradehall says the promotional deal has signed up nearly one million members. A site called Popularlink.com is also promoting a stock giveaway.

After a user signs up for stock, he is given a referral code; when another person signs up using that referral code, the first person typically gets additional stock.

No-good stocks

The SEC says the technique is out of bounds partly because such offers aren't regulated.

"Generally you can't do offers like this," said SEC spokesman Duncan King. "There are a lot of issues around it, but one of them is that you're creating a market in unregistered securities."

He said that even though the offers are just promotional tools, "if stock is involved, you can't do it."

It would be difficult to think of a better giveaway than Internet stocks, which have achieved a reputation for making billionaires out of twentysomethings, after a persistent rise in shares of companies such as Yahoo! Inc. (Nasdaq:YHOO) and Amazon.com (Nasdaq:AMZN).

Riding the wave

In fact, the e-mails promoting the stock giveaways name such stocks to attract additional interest. A message telling people to get free Popularlink.com stock -- which does not appear to have been sent by Popularlink -- stated that "the last company to try this route is now listed on the Nasdaq (Amazon)."

However, Amazon.com flatly denied participating in any such scheme. "It's something we haven't done," said Amazon spokesman Bill Curry, who added that the company had never even contemplated a stock giveaway.

The SEC's King said the Internet allows such too-good-to-be-true offers to find a much wider audience than they would otherwise.

"It's making these things much more possible," King said. "As a medium, the Internet is a cheap, effective way to reach millions of people."

He said that while the SEC does intend to enforce its regulations on free-stock cases, it has never prosecuted such a case in the Internet era.

Popularlink and Tradehall could not be reached for comment.

I did email popularlink in 2004 and here was their response, dated 5/6/2004:

I'm so surprised there are comments on this "free stock" from PopularLink as recently as March 2012! I just ran across my certificate; of course I have never heard another word from the "company". It makes me smile to read that some people want to sue the company...for what? We paid nothing; we received nothing. Someone would hire a lawyer to take on this nothing situation....that's ridiculous! I'll hang on to the email with my 5 numbers just because it isn't taking up much room in my life. But, do I feel angry....of course not; just disappointed. I'm not out any money.

I have 7 shares too from back in 1998 with Popularlink. I recently received a letter from Travelzoo advising me that since I never responded to their last letter (which I don't recall ever receiving) advising me that this Bahamas company that I got the shares through was merging with Travelzoo and since I didn't transfer my shares over to Travelzoo, I need to cash out these shares at the current Travelzoo price or the money for those shares will be turned over to the state that you lived in at the time you received the shares. I did not receive certificates either, but I guess you don't need them. I gave them the info needed in order to receive the money so I hope it's legit or I'm in trouble..

I too was duped by them. At the time I owned a small restaurant in Greenwich Village, Manhattan, and referred many customers to popularlink and because of that I accumulated over a hundred stock certificates. One thing I'm quite certain of is that we'll never heard from them again. It was a lesson learned.
